All Rights Reserved IMPORTANT: Please read the terms and conditions of this license agreement carefully before using the software RQM.COM and/or its subsidiaries ("RQM.COM") is willing to license the software to you as the individual, the company, or the legal entity that will be utilizing the software (referenced below as you or your) only on the condition that you accept all of the terms of this license agreement. This is a legal and enforceable contract between you and RQM.COM. By clicking on the AGREE or YES button or otherwise indicating assent electronically, or loading the software, you agree to the terms and conditions of this agreement. You acknowledge that the Software in source code form remains a confidential trade secret of RQM.COM and/or its suppliers and therefore you agree not to modify the Software or attempt to decipher, decompile, disassemble or reverse engineer the Software, except to the extent applicable laws specifically prohibit such restriction. If you have purchased an upgrade version of the Software, it constitutes a single product with the RQM.COM software that you upgraded. You may use or transfer the upgrade version of the Software only in accordance with this license statement. LIMITED WARRANTY RQM.COM warrants that the Software, as updated and when properly used, will perform substantially in accordance with the accompanying documentation, and the Software media will be free from defects in materials and workmanship, for a period of ninety (90) days from the date of receipt. Any implied warranties on the Software are limited to ninety (90) days. Some states/jurisdictions do not allow limitations on duration of an implied warranty, so the above limitation may not apply to you. GENERAL PROVISIONS This statement may only be modified in writing signed by you and an authorized officer of RQM.COM. If any remedy provided is determined to have failed for its essential purpose, all limitations of liability and exclusions of damages set forth in the Limited Warranty shall remain in effect. This Agreement is the entire agreement between You and RQM.COM relating to the Software and: (i) supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to its subject matter; and (ii) prevails over any conflicting or additional terms of any quote, order, acknowledgment or similar communications between the parties. This Agreement may only be modified by a written document which has been signed by both You and RQM.COM. This Agreement shall terminate upon Your breach of any term contained herein and You shall cease use of and destroy all copies of the Software.
