For The Record is a Windows based software that helps organize your record albums, cassette tapes, CDs, DVDs, and videotapes quickly and effectively. The software allows you to enter the artist names, record albums for each artist and associated song titles into the database. You also specify the label maker of the album, the album category (Classical, Country, etc), the sleeve condition of the album, the record condition and its market value. The software is easy to use. It has the same look and feel as Microsoft Windows Explorer as it presents all keyed information in a tree hierarchy. The tree hierarchy provides you with a quick way to assess what you have without physically accessing the albums. You can rename and delete the keyed entries for management of such information. The software has many features that make it powerful yet user friendly. Features such as the Find command so the database can be searched to locate the albums and song titles and the Print command so index reports can be printed. For The Record eliminates the manual task of sorting and organizing your music albums, prevents the potential of miss-placing a record, provide a quick way of finding your records. You can print an up-to-date index list for each artist, record and song titles. Use this report for your record keeping and you may present it to your insurance company for insurance purposes. IMPORTANT - READ CAREFULLY This license applies to the registered and purchased versions of For The Record™ 3. If you are using an evaluation version of For The Record™ 3, see the section title "Evaluation License". This License Agreement and Limited Warranty (herein referred to as "Agreement") is a legal agreement between you (either an individual or a single entity) and OPERA Tech® (herein referred to as "OPERA Tech") for For The Record™ 3 software product, which include computer software and may include associated media, printed materials, and "on-line" or electronic documentation (herein referred to as "Software Product"). By opening the sealed software package and/or by downloading, installing, copying or otherwise using the Software Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, then DO NOT install or use the Software Product and promptly return the Software Product and accompanying items in re-sellable condition to the place from which you obtained them for a full refund. 1. LIMITED LICENSE. The Software Product is licensed, not sold. You are purchasing only the right to use the Software Product as described in the attached Exhibit 1, and are acquiring no rights to the software itself, or the enclosed copy, except the Limited License granted herein. 2. COPYRIGHT. All title, trademarks and copyrights in and pertaining to the Software Product (including but not limited to, any images, photographs, animations, video, audio, music, and text incorporated into the Software Product), the accompanying printed materials, and any copies of the Software Product are owned by OPERA Tech. Copyright laws and international treaty provisions protect the Software Product. Therefore, you may not copy the Software Product except that you may either (a) make one copy of the Software Product solely for backup or archival purposes, or (b) install the Software Product on a single computer provided you keep the original solely for backup or archival purposes. You may not copy the printed materials accompanying the Software Product. You may not alter, remove or destroy any copyright notice, proprietary marketing or confidential legends placed on or with the Software Product. 3. OTHER RESTRICTIONS. 3(a). Rental. You may not rent or lease the Software Product. 3(b). Dual-Media Software. You may receive the Software Product in more than one medium. Regardless of the type or size of the medium you receive, you may use only that one medium that is appropriate for your single computer. You may not use or install the other medium on another computer, including but not limited to portable computers under the exclusive control of the registered user. 3(c). Software Transfer. Unless this is a "Not for Resale" or "Evaluation" product, you may permanently transfer all of your rights under this Agreement, provided that you retain no copies, you transfer all of the Software Product (including all component parts, the media and printed materials, any upgrades, and this Agreement), and the recipient agrees to the terms of this Agreement. If the Software Product is an upgrade, any transfer must include all prior versions of the Software Product. You may not transfer a "Not for Resale" or "Evaluation" product license. 3(d). Export. Any export of the Software Product or its technical data from the United States may be restricted by U.S. export control laws, and accordingly you must comply with such laws before engaging in any such export. 3(e). Limitations on Modifications or Reverse Engineering. You shall not cause or permit the reverse engineering, alteration, disassembly, de-compilation, translation or adaptation of the Software Product, or take any action inconsistent with OPERA Tech's or its suppliers' ownership of the Software Product. 3(f). No Separation of Components. The Software Product is licensed as a single product, and neither the software programs comprising the Software Product or any update or upgrade may be separated for use by more than one user at a time. 3(g). Termination. Without prejudice to any other rights, OPERA Tech may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of the Software Product. 4. LIMITED WARRANTY. Unless this is a "Not for Resale" or "Evaluation " product, OPERA Tech warrants only the physical disk(s) and physical documentation to be free of defects in materials and workmanship for a period of 30 days from the purchase date. If OPERA Tech Software receives notification within this warranty period of any such defects and such notification is determined to be correct, OPERA Tech will replace the disk(s) or documentation, when applicable. OPERA Tech's entire liability for any breach of this warranty is limited to replacement of defective disk(s) or documentation, and does not include or extend to claims for any other damages. OPERA Tech SPECIFICALLY DISCLAIMS ALL OTHER CONDITIONS AND WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO, ANY IMPLIED CONDITION OR WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR SATISFACTORY QUALITY. "Not for Resale" and "Evaluation" products are provided "AS IS" without warranty of any kind. OPERA Tech does not guarantee results or warrant that these products will be error-free. 5. LIMITATION OF LIABILITY. IN NO EVENT SHALL OPERA Tech BE LIABLE FOR COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, LOSS OF PROFITS, DATA OR USE OF THE SOFTWARE PRODUCT, OR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OR OTHER SIMILAR CLAIMS, HOWEVER CAUSED, AND ON ANY THEORY OF LIABILITY, EVEN IF OPERA Tech HAS BEEN SPECIFICALLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE USER MUST ASSUME THE ENTIRE RISK OF USING THE SOFTWARE. IN NO EVENT WILL OPERA TECH'S LIABILITY FOR ANY DAMAGES TO YOU OR ANY OTHER PERSON EVER EXCEED THE LOWER OF THE SUGGESTED LIST PRICE OR THE ACTUAL PURCHASE PRICE PAID FOR THE SOFTWARE PRODUCT, REGARDLESS OF THE FORM OF THE CLAIM. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. ALL THIRD PARTY SUPPLIERS TO OPERA Tech SOFTWARE OF ANY PORTION OF THE SOFTWARE PRODUCT MAKE NO WARRANTY AND SHALL HAVE NO LIABILITY TO YOU. 6. GOVERNING LAW. This Agreement is governed by the laws of the State of Nebraska, and the United States without regard to its conflict of law provision, and each party irrevocably submits to the exclusive jurisdiction of the courts of the State of Nebraska. The parties disclaim the application of the United Nations Convention on the International Sale of Goods. 7. MISCELLANEOUS. This document constitutes the entire agreement of the parties regarding the subject matter herein. All rights not expressly granted to you are retained by OPERA Tech. The failure of OPERA Tech Software to enforce any right or claim against you shall not be deemed a waiver of such right or claim or any other right or claim hereunder. No modification to this Agreement shall have effect unless in writing and signed by the authorized representative of the parties. If any provision of this Agreement is ruled invalid, such invalidity shall not affect the validity of the remaining portions of this Agreement. Restricted Rights Legend U.S. GOVERNMENT RESTRICTED RIGHTS. Use, duplication, reproduction, or transfer of this commercial product and accompanying documentation is restricted as set forth in subparagraph C (1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c) (1) and (2) of the Commercial Computer Software Restricted Rights at 48 CFR 52.227-19, as applicable. Manufacturer is: OPERA Tech. Exhibit 1 SINGLE USER. OPERA Tech grants you a personal, non-exclusive Limited License to use one copy of the Software Product on a single computer. You may access the Software Product from a hard disk, over a network, or by any other method, strictly in accordance to the terms hereof. You may use each licensed copy of the Software Product only on a single computer. MULTIPLE USERS. This is a Single User Software Product. For additional users to use the Software Product, you must purchase additional Software Product. Except as stated in section 1, OPERA Tech grants you a non-exclusive Limited License to use one copy of the Software Product on a single computer for each of and up to the total number of Software Product you are purchasing. You may access the Software Product from a hard disk, over a network, or by any other method, strictly in accordance to the terms hereof. Licenses for OPERA Tech are not concurrent licenses but are named user licenses. That is, if you have 10 people who will be using the Software Product on 10 different computers, you will need to purchase 10 copies of the Software Product and install each copy on its own computer. UPGRADE SOFTWARE. If the Software Product is labeled or otherwise identified by OPERA Tech as an "upgrade", you must be properly licensed to use a product identified by OPERA Tech as being eligible for the upgrade in order to use the Software Product. A Software Product labeled or otherwise identified by OPERA Tech as an upgrade; replaces and/or supplements the product that formed the basis for your eligibility for such upgrade. You may use the resulting upgraded product only in accordance with the terms of this Agreement. If the Software Product is an upgrade of a component of a package of software programs that you licensed as a single product, the Software Product may be used and transferred only as part of that single product package and may not be separated for use on more than one computer. EVALUATION SOFTWARE. OPERA Tech grants you a personal, non-exclusive Limited License to use one copy of the Software Product on a single computer for evaluation purposes only, for a period not to exceed thirty (30) days. You are acquiring only the limited right to use a single copy of the Software Product for evaluation purposes only and are acquiring no rights to the software itself. DISTRIBUTION OF EVALUATION VERSION. Provided that you verify that you are distributing the evaluation version of the Software Product (select About from software Help menu to check) you are hereby licensed to make as many copies of the evaluation version of this Software Product as you wish; give exact copies of the original evaluation version to anyone; and distribute the evaluation version of the Software Product in its unmodified form via electronic means. There is no charge for any of the above. You are specifically prohibited from charging, or requesting donations, for any such copies, however made. BECAUSE OF VARIOUS HARDWARE AND SOFTWARE ENVIRONMENTS INTO WHICH SOFTWARE PRODUCT MAY BE PUT, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED.
