License Agreement for DonWellSoft, LLC Software Products This is a legal agreement between you, the end user, and DonWellSoft, LLC. By ordering the DonWellSoft, LLC software and by using the DonWellSoft, LLC software you accept and agree to be bound by this License Agreement. License Grant DonWellSoft, LLC company (DonWellSoft) hereby grants you a non-exclusive license to use the software SQL Partition Manager (Software), data and any accompanying documentation (known collectively as Documentation) in the manner described below under "Scope of Grant". Scope of Grant For evaluation, the license is granted. The evaluation period is limited to fourteen (14) calendar days. For registered release you have to pay a license fee, by following instructions prompted by the program. The Software must be used as licensed per server with no limit on the number of users accessing the server. However, the number of servers which each registered copy of the Software accesses may not exceed the number of licenses purchased. We reserve the right to void your technical support and upgrades and/or pursue legal action if this is violated. The license, that DonWellSoft provides, is a world-wide license that may be used in different offices and locations of your company. You may copy the Software for archival purposes, provided any copy contains all of the original Software's proprietary notices and is kept in your possession. Restrictions on Use You may not: - Permit other individuals to use the Software except under the terms listed above; - Modify, translate, reverse engineer, decompile, disassemble (except to the extent applicable laws specifically prohibit such restriction) or create derivative works based on the Software; - Copy the Software (except as specified above); - Rent, lease, transfer or otherwise transfer rights to the Software; - Remove any proprietary notices from the Software; - Operate the Software beyond the term of your trial period. Disclaimer of Warranty The Software is provided on an AS IS basis, without warranty of any kind, including without limitation the warranties of merchantability or fitness for a particular purpose. The entire risk as to the quality and performance of the Software is borne by you. Should the Software prove defective or inaccurate or should the Software cease to operate, as the case may be you and not DonWellSoft or its suppliers assume the entire cost of any damage, service and repair. This disclaimer of warranty constitutes an essential part of the agreement. Limitation of Liability DonWellSoft IS NOT RESPONSIBLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. Jurisdiction Title. Title, ownership rights and intellectual property rights in and to the Software shall remain in DonWellSoft. The Software is protected by international copyright treaties. Termination. The license will terminate automatically if you fail to comply with the limitations described above. On termination, you must destroy all copies of the Software and Documentation. Updates and Support Policy DonWellSoft offers unconditional, free technical support to registered users of current versions of the Software. Free technical support for out-of-date versions continues for six months after a newer version is released. Bug/Patch/Fixes will only be applied to the most recent version of the Software (or previous version subject to the six month limit described above). If a reported problem has been fixed in a subsequent minor or maintenance release for the same major version of the Software, you will be required to update your installation to acquire the fix. If a solution is available to your problem immediately you will receive an email containing the information on how to solve the issue. All our customers are entitled to free minor version updates and to a considerable discount for any major upgrade of the product. If the next major version is released within 60 days from your previous version purchase, you are entitled to a free upgrade. Refund policy The Software may be returned at your expense for a full refund (excluding wire charges and manual processing charges) provided that you meet each of the following conditions: (a) You may contact DonWellSoft and request a refund within thirty (30) calendar days from the date of initial receipt of the Software; (b) You must delete the installed copies of the Software from your computer, and must confirm that the Software has been disabled from your computer; DonWellSoft will only issue the refund amount after all of the foregoing conditions have been met. If any of the foregoing conditions has not been met, you will not be entitled to any refund. Subsequent licensing of additional updates, components, or add-ons of any kind does not extend the thirty (30) calendar day period for return eligibility for any previous product or version. If you retain the Software beyond this thirty (30) calendar day period, it is understood that you will not be entitled to a refund of the fee for the entire Software or any component markets thereof for any reason regardless of the circumstances. Taxes, Duties, and Other Fees You agree to be responsible for any taxes, duties, or other applicable fees derived from the licensing of the Software. Duties, fees, import taxes, etc. vary by country or state. You should investigate whether you are liable for any applicable taxes.
