End User License Agreement 1.Copyright & License Any product that is made available to download from SmartOSC is the copyrighted work of SmartOSC. Use of the product is governed by the terms of the end-user license agreement. The SmartOSC's Magento product is made available for download solely for use by end-users according to the License Agreement. By purchasing the product, customer is asserting with the below-stated Terms and Conditions of the present Agreement. Any reproduction or redistribution of the product not in accordance with the License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. By purchasing the product the customer obtains a valid and perpetual License, which means that License will remain valid until the Licensee stops using the product or until Licensor terminates this License because of Licensee's failure to comply with any of its Terms and Conditions. Our company offers two options: Single Domain License or Multiple Domains License for Magento extension. A Single Domain License will enable customers to use each product on a single domain/website only. This site must belong to customer or customer's client. In order to use the same product again, customer will have to purchase it again for use on another website. A Multiple Domains License may be used to different domains by developers or shop owners who want to use a product on more than just one site. The number of allowed domains will be pre-defined by SmartOSC package. Customer should provide the list of all domains to be added to customer's license. [email protected] 2.Ordering & Installation Customer can place an order on the SmartOSC website by making an online purchase on saas.smartosc.com or contacting our sale representatives via [email protected] Placing an order on our saas.smartosc.com website will require the creation of an account. The shopping cart can be viewed in details at any time and you can add or remove items. SmartOSC does not pledge for its installation to operate successfully on modified as well as non-modified Magento solution. In case of any problems with installation the customer may purchase installation service executed by SmartOSC's staff. Installation is a paid service which is not included in the product package price. To use the paid installation service client is obliged to present correct web-site access information for SmartOSC's support personnel, as well as valid Product License information. Installation service payments are non-refundable. However, each SmartOSC's product comes with an illustrated installation accompanied with the package. 3.Payment & Promotions Payments are made online with Paypal when you proceed checkout or Bank transfer when you have reached an agreement with our sale representatives. All products will be available for download when the payment has been accepted and verified. If you can't download a product please check the status of your payment via payment processor interface. Promotions are stated in a notification sent to you via email as well as on SmartOSC website. 4.Refunds & Replacements SmartOSC's products are intangible and irrevocable goods, therefore, we do not issue any refunds or replacements. Only purchase if you agree. However, under rare circumstances, we may honor requests for the refund on a case by case basis: (a) Non-delivery/ non-downloadable/unzipping issues of the product: Claims regarding such issues must be submitted to our Customer Support department within 3 days. If you do not properly contact us during this period, you agree that we may construe silence as a successful download of the product with no further right of refund for a "download issue" reason. Failure to receive assistance for downloading or unzipping within 3 days may result in a refund decline if, due to server interruption issues, you are unable to complete the product download from our site or unable to receive the product via email within 48 hours prior to your purchase. (b) Irreparable defects or grave difficulties with the product using: Although we have ensured that each product is fully tested before release, we are aware that unexpected errors may occur. Please submit the reason to us for evaluation so that we may determine whether the defects are caused by your server or our product. (c) Product not delivered as described: Such issues should be reported to our Technical Support department within 7 days from the date of the purchase. Clear evidence must be provided. Complaints which are based merely on the customer's false expectations or wishes are not honored. To prevent this situation from happening, it is recommended you check out our product presentation on saas.smartosc.com before making the purchase. Please note that we do not bear any responsibility and therefore we do not satisfy any refund/return/exchange requests based on incompatibility of our products with some third-party software (plug-ins, add-ons, modules, search engines, scripts, extensions etc) other than those which are developed by our service or follow Magento clean standard structure. We don't guarantee that our products are fully compatible with any third-party programs and we do not provide free support for third-party applications. Any support for third-party applications will be subject of paid service. 5.Support & Service Free support period for one product will be effective for total 6 months, starting from the purchase date of the product. Support team shall provide to Customer, without additional charge, all reasonably necessary written consultation requested in connection with use and operation of the product or any problems therewith, within above-stated period of time. In cases when extraordinary support efforts will be required customer shall be offered paid support service. Under extraordinary support efforts SmartOSC supposes a request which probable cost to resolve may exceed the cost of the purchased product. Support costs are calculated in accordance with our hourly rate. Support team preserves the right to ignore any appeals or requests, not falling under the present conditions. All information, acquired from our support team is advisory only and shall not create any warranty for SmartOSC. 6.Updating & Modifications Further versions, upgrades and modification of the product which customer is utilizing might be available at additional cost. Any redistribution or reproduction of modified product by client will violate the copyright laws and international copyright treaty provisions. 7.Confidentiality & Responsibility Each party agrees that it shall not disclose any information concerning the customers, trade secrets, methods, processes or procedures or any other confidential, financial or business information of the other party, which it learns during the course of its performance of this Agreement to any third party, without the prior written consent of such other party. This obligation shall survive the cancellation or other termination of this Agreement or License.
