END USER LICENSE AGREEMENT Copyright (c) 2005 Almalence Incorporated. All rights reserved. This End-User License Agreement ("AGREEMENT") is a legal agreement between the user ("USER") (either an individual or a single entity) and Almalence Incorporated ("ALMALENCE") for the PhotoAcute Studio product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, the USER agrees to be bound by the terms of this AGREEMENT. If you do not agree with the terms of this AGREEMENT, do not install or use the SOFTWARE. ALMALENCE agrees to provide the USER with a copy of the SOFTWARE, and grants the USER a limited license to use the SOFTWARE ("LICENSE"). This LICENSE defines what the USER may do with the SOFTWARE, and contains limitations on warranties, liabilities and remedies. This LICENSE may be revoked by ALMALENCE at any time without notice if the USER fails to comply with the terms of this LICENSE. The copyright and all other rights in the SOFTWARE shall remain with ALMALENCE. The USER must assume the entire risk of using the SOFTWARE, and ALMALENCE shall have no liability to the USER or any other third-party for any damages whatsoever, including, but not limited to, any economic or data loss, even if such loss was foreseeable by ALMALENCE. ALMALENCE DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS. INVALID PROVISIONS If any provision of this AGREEMENT shall be declared invalid or unenforceable, the remaining provisions of this LICENSE shall remain in full force and effect to the fullest extent permitted by law. In such event, each provision of this AGREEMENT which is invalid or unenforceable shall be replaced with a provision as similar in terms to such invalid or unenforceable provision as may be possible which is legal and enforceable. ENTIRE AGREEMENT This AGREEMENT is the entire agreement between ALMALENCE and the USER, and supersedes any other agreement, oral or written, and may not be changed except by a written signed agreement.
